These Terms and Conditions explain how I, Jonathan Lafer, operate as an independent designer and developer under ftre.co.

They set out the framework for all services, including design, web development, media production, and consulting projects.

By working with me, accessing the client portal, or using the website, you agree to these terms.

1. Who I Am and Scope

ftre.co is operated by Jonathan Lafer, a sole proprietor (ZZP) registered in the Netherlands.

These Terms apply to all offers, quotes, agreements, services, and interactions between ftre.co and any client, unless otherwise agreed in writing.

2. Services Offered

ftre.co provides creative and technical services, including but not limited to:

  • Design & Identity: logo design, visual identity, packaging, brand guidelines, art direction.

  • Story & Vision: brand positioning, tone of voice, creative strategy, messaging.

  • Digital & Interactive: website and app design, AI & XR experiences, custom tools, UX/UI development.

  • Media & Motion: photo, video, film, and motion graphics production.

The scope of each project is defined in a written proposal, quote, or email confirmation.

3. Formation of Agreement

An agreement is established when the client accepts an offer or quote from ftre.co, in writing or electronically.

All quotations are valid for 30 days unless stated otherwise.

Verbal commitments are binding only when confirmed in writing.

4. Pricing and Payment

  • All prices are stated exclusive of VAT (21%), unless otherwise specified.

  • Standard payment term: Net 30 days from invoice date, unless agreed otherwise in writing.

  • Invoices are sent upon delivery of final materials or at agreed milestones.

  • Late payments may incur statutory interest and collection costs as permitted under Dutch law (Burgerlijk Wetboek, Article 6:119a BW).

  • All payments must be made to the bank account stated on the invoice.

If a client fails to pay within the due date, ftre.co may suspend ongoing work until payment is received.

5. Cancellations and Termination

  • Cancellation before the project start may result in a 50% charge of the quoted project fee.

  • Cancellation after work has begun may result in a fee up to 100% of the agreed amount, depending on progress made.

  • Either party may terminate a project by written notice in case of substantial breach, insolvency, or mutual agreement.

  • Termination does not affect outstanding payment obligations or existing intellectual property rights.

6. Revisions and Scope Changes

Each project includes a reasonable number of revisions as specified in the proposal.

Requests outside the agreed scope (e.g., extra design rounds, new features, or major strategy changes) will be billed at the current hourly or day rate, unless otherwise agreed.

7. Intellectual Property and Usage Rights

  • All creative work, design concepts, code, and materials remain the intellectual property of ftre.co / Jonathan Lafer until full payment is received.

  • Upon full payment, the client receives a commercial license to use the delivered materials for the agreed purpose(s).

  • ftre.co retains the right to showcase the work in its portfolio, website, and promotional materials, unless a non-disclosure agreement (NDA) or exclusivity clause has been signed.

  • Any third-party assets (e.g., fonts, stock imagery, audio) are licensed specifically for the project’s use and may not be reused beyond that scope without new licensing.

  • Clients may not resell or distribute ftre.co’s deliverables as standalone products without written permission.

8. Client Responsibilities

The client agrees to:

  • Provide accurate and timely information necessary for the project.

  • Review and approve deliverables within reasonable timeframes.

  • Ensure they have the rights to all materials supplied (e.g., logos, photos, text).

  • Use the deliverables lawfully and ethically.

ftre.co is not liable for delays caused by incomplete, inaccurate, or late client input.

9. Liability and Indemnity

  • ftre.co will perform all services with due care and professionalism.

  • Any liability for damages is limited to the total invoice value of the project concerned.

  • ftre.co is not liable for indirect, incidental, or consequential damages, including loss of profit, data, or reputation.

  • Clients indemnify ftre.co against claims arising from materials provided by them that infringe third-party rights or laws.

10. Force Majeure

In case of unforeseen events beyond reasonable control — including but not limited to illness, technical failures, strikes, or natural disasters — obligations may be suspended for the duration of the event.

Both parties will cooperate to reschedule or modify deliverables if possible.

11. Confidentiality

All information shared during a project is treated as confidential.

Both parties agree not to disclose any non-public information, documents, or materials without consent.

Confidentiality survives termination of the agreement.

12. Client Portal and Account Access

Clients with a login to the ftre.co portal must keep their credentials secure and private.

Unauthorized access, redistribution of shared links, or misuse of portal data is strictly prohibited.

ftre.co reserves the right to suspend or terminate access in cases of abuse or security concerns.

13. Data Protection and Privacy

Personal data collected and processed through projects or the client portal are handled according to the Privacy Policy available on ftre.co.

Backups are maintained securely, and sensitive data are deleted upon request where legally possible.

14. Lawful and Ethical Use

ftre.co will not participate in projects that:

  • Violate laws of the Netherlands, EU, or the client’s country of operation.

  • Promote hate, discrimination, or unethical practices.

  • Misrepresent, plagiarize, or exploit others.

Projects may be declined or terminated at ftre.co’s discretion if ethical concerns arise.

15. Governing Law and Jurisdiction

These Terms and all agreements with ftre.co are governed by Dutch law.

Disputes shall be submitted to the competent court in The Hague (Rechtbank Den Haag), unless mandatory law dictates otherwise.

16. Amendments

ftre.co may update these Terms periodically to reflect changes in operations or law.

The most recent version is always available at ftre.co.

Clients will be notified of major changes that affect ongoing agreements.

Samenvatting

Deze voorwaarden beschrijven hoe ftre.co werkt en welke rechten en plichten gelden bij samenwerking.

Door gebruik te maken van de website, het klantportaal of de diensten van Jonathan Lafer, ga je akkoord met deze voorwaarden.

1. Wie ik ben en toepassingsgebied

ftre.co is een eenmanszaak van Jonathan Lafer te Den Haag.

Deze voorwaarden gelden voor alle offertes, opdrachten en overeenkomsten tussen ftre.co en haar klanten, tenzij schriftelijk anders overeengekomen.

2. Diensten

ftre.co levert creatieve en technische diensten, waaronder:

  • Ontwerp en identiteit (logo’s, visuele huisstijl, art direction)

  • Merkstrategie en storytelling

  • Digitale projecten (websites, AI/XR, UX/UI)

  • Media & motion (video, fotografie, motion design)

De precieze scope wordt vastgelegd in een offerte of opdrachtbevestiging.

3. Totstandkoming overeenkomst

Een overeenkomst komt tot stand zodra de klant een aanbod of offerte schriftelijk of elektronisch accepteert.

Offertes zijn 30 dagen geldig tenzij anders vermeld.

4. Prijzen en betaling

  • Alle bedragen zijn exclusief btw (21%) tenzij anders vermeld.

  • Betaaltermijn: 30 dagen na factuurdatum, tenzij anders overeengekomen.

  • Betaling geschiedt via de opgegeven rekening.

  • Bij te late betaling is wettelijke rente en incassokosten verschuldigd (art. 6:119a BW).

  • ftre.co mag werkzaamheden opschorten bij betalingsachterstand.

5. Annulering en beëindiging

  • Annulering vóór aanvang: 50% van de projectprijs verschuldigd.

  • Annulering tijdens uitvoering: tot 100%, afhankelijk van voortgang.

  • Beide partijen kunnen beëindigen bij wanprestatie of overmacht.

  • Beëindiging ontslaat de klant niet van betalingsverplichtingen.

6. Wijzigingen en revisies

Redelijke revisierondes zijn inbegrepen.

Extra werk buiten de afgesproken scope wordt apart gefactureerd.

7. Intellectueel eigendom

  • Alle rechten blijven bij ftre.co / Jonathan Lafer tot volledige betaling.

  • Na betaling krijgt de klant een commerciële gebruikslicentie voor overeengekomen doeleinden.

  • ftre.co mag werk tonen in portfolio’s tenzij een NDA geldt.

  • Derdenmateriaal (fonts, stockbeelden) mag niet buiten de licentie worden hergebruikt.

  • Herverkoop of wederdistributie zonder toestemming is verboden.

8. Verantwoordelijkheden klant

De klant zorgt voor juiste en tijdige informatie en garandeert dat aangeleverde materialen vrij zijn van rechten van derden.

Vertraging door onvolledige informatie is voor rekening van de klant.

9. Aansprakelijkheid

  • ftre.co voert opdrachten zorgvuldig uit.

  • Aansprakelijkheid is beperkt tot het factuurbedrag van het betreffende project.

  • ftre.co is niet aansprakelijk voor gevolgschade of winstderving.

  • De klant vrijwaart ftre.co voor aanspraken van derden.

10. Overmacht

Bij omstandigheden buiten redelijke controle (ziekte, technische storingen, overheidsmaatregelen, enz.) mag nakoming tijdelijk worden opgeschort.

11. Geheimhouding

Beide partijen bewaren vertrouwelijke informatie strikt geheim, ook na beëindiging van de overeenkomst.

12. Klantportaal

Toegang tot het portaal is persoonlijk.

Ongeoorloofd delen of misbruik van toegangsgegevens is verboden.

Bij overtreding mag toegang worden geblokkeerd.

13. Gegevensbescherming

Persoonsgegevens worden verwerkt volgens de Privacyverklaring op ftre.co.

Back-ups en verwijderingsverzoeken worden conform de AVG afgehandeld.

14. Wettelijke en ethische grenzen

ftre.co weigert projecten die onwettig, discriminerend of ethisch onverantwoord zijn.

Bij twijfel mag de samenwerking worden beëindigd.

15. Toepasselijk recht

Op alle overeenkomsten is Nederlands recht van toepassing.

Geschillen worden voorgelegd aan de rechtbank Den Haag, tenzij dwingend recht anders bepaalt.

16. Wijzigingen

ftre.co kan deze voorwaarden wijzigen.

De meest actuele versie staat altijd op ftre.co.

Belangrijke wijzigingen worden gecommuniceerd aan bestaande klanten.
